General Terms
This CharterTnT Bus Operator Agreement is an agreement between you and CharterTnT, outlining terms and conditions relevant to your provision of Transportation Services through the CharterTnT Platform in Australia.
Bus Operator Fare
As a Bus Operator, you are entitled to a Bus Operator Fare for Transportation Service rendered to Passenger(s), as stipulated in this Bus Operator Agreement. The “Bus Operator Fare” for a completed ride includes fare based on the actual time and distance of the ride, as calculated by CharterTnT.
The "Bus Operator Fare" shall be calculated based on the price provided by the Bus Operator through their account on the CharterTnT platform. If their price is deemed the best offer and the client confirms the order, then CharterTnT is obliged to pay the Bus Operator this amount for the service rendered.
Additional Payments to You
Beyond the Bus Operator Fare, you may receive tips from Passenger(s), surcharges, tolls, damage charges, and bonuses or incentives for providing Transportation Services.
Payments, Adjustments and Settlement
CharterTnT, acting as your limited payment collection agent, will gather payments owed by Passenger(s) and third parties. Adjustments or withholding of payments (excluding tips) might occur in cases of suspected fraud, rider complaints, or discrepancies in ride details. Payments, generally settled weekly, are net of any legal withholdings and exclude interest.
CharterTnT Fees
For facilitating your Transportation Service Services, CharterTnT charges fees (Service Fee and Platform Fee) based on each transaction. The Platform Fee adjusts based on the ride's total earnings and fees involved.
Payment Processing
Square and PayPal provide payment processing services. By using the CharterTnT Platform for payment, you comply with the Square or PayPal Terms, which may change over time.
Promotions and Coupons
CharterTnT may offer promotions or Coupons to Passenger(s), which don't affect your Bus Operator Fare or payments.
No Additional Amounts
CharterTnT's marketing efforts aim to increase demand for your services but do not entitle you to additional payments beyond those outlined in the Agreement and this agreement.
Communications
As agreed in the Agreement, you consent to receive communications from CharterTnT, its affiliates, and Passenger(s). You may receive operational, promotional, and other types of messages. Participation in promotional messaging is voluntary, and message frequency and rates may vary. You are responsible for all related messaging charges. You can opt out of promotional communications via specified channels. Opting out of all communications may affect your use of the CharterTnT Platform.
Obligations and Assurances of Bus Operators
As a Bus Operator offering Transportation Services on the CharterTnT Platform, you affirm, guarantee, and consent to the following:
- You hold a valid Bus Operator’s license, are legally and medically cleared to drive a motor vehicle, and possess all necessary licenses and approvals to transport Passengers in all areas where you provide Transportation Services.
- The vehicle you use for Transportation Services is legally under your control or ownership, is in optimal working condition, complies with industry safety standards, fulfils all legal and state motor vehicle requirements for its class, and any applicable safety recalls have been or will be addressed according to manufacturer guidelines.
- You will refrain from reckless driving or behaviour while providing Transportation Services, will not drive unsafely or in an unfit vehicle, will not allow unauthorized individuals in the vehicle during service, will not provide services while impaired by alcohol or drugs, and will not engage in actions that could harm the CTnT community or third parties.
- You will offer Transportation Services solely with the vehicle reported to and approved by CTnT, and will not carry more Passengers than the vehicle can safely accommodate.
- You will avoid any fraudulent activities against CharterTnT, Users, or Passengers. In cases of suspected fraud, we may withhold related Fares or other payments and pursue legal actions.
- You maintain a valid liability insurance policy covering your vehicle for Transportation Services, consistent with legal requirements. You agree to provide proof of such insurance upon request and allow CharterTnT access to this information.
- You will duly pay all relevant state and local taxes deriving from your Transportation Services and any related payments.
- You will cooperate with CharterTnT in providing information for Passenger(s) complaints, law enforcement inquiries, or other incidents as reasonably requested.
Intellectual Property Rights
All intellectual property rights in the CTnT Platform, including database rights, inventions, patents, copyrights, design rights (registered or unregistered), trademarks (registered or unregistered), and similar rights worldwide, are owned entirely by CharterTnT. This includes the right to apply for protection of these rights. Any other trademarks, logos, service marks, company or product names featured in the CTnT Platform are owned by their respective holders. By providing Submissions (such as questions, comments, suggestions, ideas, feedback, or other information) to CharterTnT, you understand they become CharterTnT's property, to be used without confidentiality, conferring CharterTnT exclusive rights, including intellectual property rights, for unrestricted use and dissemination in any manner.
CharterTnT Marks
The CharterTnT logos, designs, graphics, icons, scripts, and service names are CharterTnT's trademarks or trade dress in Australia and other countries ("CharterTnT Marks"). As a Bus Operator providing Passenger Services, you are granted a limited, revocable, non-exclusive license to use the CharterTnT Marks solely on provided CharterTnT stickers/decals and other CharterTnT-branded items for services ("License"). This License is non-transferable and does not allow sublicensing without CharterTnT's written consent. Usage of the CharterTnT logo or any CharterTnT Marks in a manner likely to confuse, such as in domain names, social media handles, or profile images, is not permitted. You may identify as a Bus Operator on the CTnT Platform but not misrepresent yourself as CharterTnT or its representative.
Usage and Guidelines
You acknowledge CharterTnT's ownership and licensor status of the CharterTnT Marks, with any use benefitting CharterTnT. You must not create materials using the CTnT Marks or derivatives as trademarks or trade dress without written approval from CTnT, impair their validity as proprietary marks, or engage in actions that jeopardize CTnT's ownership rights, including trademark challenges. Additionally, you must not use the CTnT Marks in connection with any illegal activities or in violation of any laws or regulations.
License Violations and Enforcement
Violating this License may lead to its immediate termination, ISP or social media takedown requests, or domain-name dispute resolutions. If you create materials with the CharterTnT Marks, CharterTnT owns all rights to these materials, including modifications or derivatives. You agree to assign any interest in such materials to CharterTnT and cooperate with documentation for formalizing this assignment.
